RESUMO
Com o propósito de evidenciar o descabimento de questionamentos fiscais que, não raro, apontam a falta de “substância” de uma pessoa jurídica para alegar sua inexistência ou invalidade perante o direito, o presente artigo adentra o tema da personalidade jurídica dos entes coletivos, encontrando na figura da persona (máscara) o elemento identificador da natureza das pessoas jurídicas e demonstrando que o ordenamento não exige desta materialidade outra que não a referência espacial – sede – que lhes permite ser uni centro ao qual se imputam direitos e obrigações.
ABSTRACT
Intending to evince the inaccuracy of challenges from the tax authorities which often point the lack of “substance” of a legal entity so as to claim its nonexistence or invalidity before law, Chis article deals with the subject of legal personality of legal entities, finding in the figure of the persona (mask) the identifying element of the nature of legal entities and showing that the legal system does not require from the latter any materiality other than the spatial reference – the headquarters – which allows them to be a centre to which rights and obligations are attributed.
